All services are delivered based on agreed project scope, timelines, and requirements.

Project Scope & Changes

  • A clear project scope will be defined before work begins.
  • Any additional features or changes outside the agreed scope may require additional cost and time.
  • Scope changes must be approved by both parties.

Payments

  • Payments must be made as per the agreed terms (upfront, milestone-based, or full payment).
  • Failure to make payments may result in project delays or suspension.
  • All fees are non-refundable, except as outlined in our Refund Policy.

Client Responsibilities

Clients are responsible for:

  • Providing accurate project requirements
  • Supplying content, materials, and feedback on time
  • Maintaining communication throughout the project

Delays caused by the client may impact delivery timelines.

Delivery & Timelines

  • Estimated timelines are provided based on project scope.
  • Delays may occur due to revisions, scope changes, or unforeseen circumstances.
  • We are not liable for delays caused by third-party services or client-side issues.

Revisions

  • Revisions are provided as per the agreed scope.
  • Excessive or out-of-scope revisions may incur additional charges.

Intellectual Property

  • Upon full payment, the client receives rights to the final deliverables.
  • Smart Systems LLC retains the right to showcase completed work in portfolios unless agreed otherwise.
  • Any third-party tools, plugins, or libraries remain subject to their respective licenses.

Confidentiality

Both parties agree to keep confidential information secure and not disclose it to any third party without consent.

Limitation of Liability

  • Smart Systems LLC is not liable for indirect, incidental, or consequential damages.
  • We do not guarantee uninterrupted or error-free operation of software after deployment.

Termination

  • Either party may terminate the project with written notice.
  • The client will be billed for all work completed up to the termination date.

Third-Party Services

We may integrate third-party services. We are not responsible for their performance, availability, or policies.

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the United States.

Changes to Terms

We may update these Terms at any time. Updated versions will be posted on our website.
